GANA transaction: FIBRAeMX Joins Aleatica and Invex as Shareholder in Grupo Autopistas Nacionales

Mexico City, June 27, 2024Aleatica, S.A.B. de C.V. (“Aleatica”) and the Energy and Infrastructure Investment Trust identified under number F/4863 (“FIBRAeMX”), are pleased to announce a landmark transaction whereby FIBRAeMX will acquire 18.2% of shares from Aleatica and 10.8% of shares from Invex Infraestructura, S.A. de C.V. and Banco Invex, S.A., Institución de Banca Múltiple, Invex Grupo Financiero (jointly, “Invex”) in Grupo Autopistas Nacionales, S.A. (“GANA”). This transaction will position FIBRAeMX as a significant shareholder in GANA, bringing its total stake up to 29%.

The transaction, valued at approximately Ps. $5,200,000,000.00, is subject to adjustments per the transaction documents.

FIBRAeMX will pay Aleatica a cash consideration and Invex a consideration in kind consisting of Series A CBFEs of FIBRAeMX. Post-transaction, Aleatica will remain the majority shareholder with a 51% stake, ensuring continued control over GANA.

The completion of this transaction is contingent upon meeting certain closing conditions and obtaining necessary approvals from the Federal Antitrust Agency (Comisión Federal de Competencia Económica), the Ministry of Infrastructure, Communications and Transportation (Secretaría de Infraestructura, Comunicaciones y Transportes), among others.

Citibank has served as the financial advisor to Aleatica, and Scotiabank has served as the financial advisor to FIBRAeMX for this transaction, while Invex Capital served as internal advisor to Invex Infraestructura, shareholder of GANA from Invex.
